4. The undersigned is not aware of any offsets, defenses, counterclaims or credits against <br />rentals or lease payments, nor have rentals or lease payments been prepaid except for the <br />current month. <br />5. The undersigned has no right to cancel the Lease. <br />6. The undersigned has not assigned, transferred or encumbered its interest in the Lease, nor <br />sublet all or any portion of the Leased Premises. <br />7. Our rent has been paid through the month of , 2010, in the amount of <br />$ , and all other costs and expenses due from the undersigned have been <br />paid through said period. <br />8. The undersigned has no option to purchase the Leased Premises, or any part thereof', and <br />has no other interest in the premises other than as Tenant under the Lease. <br />9. In the event you become the owner of the Leased Premises through foreclosure or <br />otherwise, the undersigned agrees to attorn to you as the Landlord. In the event the <br />interest of Graba Properties, LLC, is transferred to you by foreclosure or otherwise, we <br />agree that you shall not be liable for any act or omission of the current Lessor, nor shall <br />our obligations to you as Landlord be subject to any offsets or defenses which we may <br />then have against Graba Properties, LLC. We further agree that you will not be bound by <br />any rents which we may have paid for more than the current installment, nor bound by <br />any amendment or modification to the Lease made without your consent. We also agree <br />to give you prompt notice should the Lessor at any time be in default under the Lease. <br />10. The undersigned agrees that its interest as Tenant in the Leased Premises is and shall be, <br />in all respects, subordinate and inferior to your interest in the Leased Premises as <br />mortgage holder or as owner, through foreclosure or otherwise, conditioned upon your <br />agreeing to not disturb out tenancy pursuant to our lease, so long as we are not in default <br />under any provision of our lease. We will not enter into any further lease, or material <br />amendment of our current lease without your prior written approval, which approval shall <br />not be unreasonably withheld. <br />The undersigned individual executing this letter on behalf of Tenant represents and <br />warrants that he or she is duly authorized to execute and deliver this letter on Tenant's <br />behalf. <br />TENANT: <br />47 <br />
