"Assignment of Rents" - The Assignment of Rents and Leases of even date herewith from Borrower to Lender to secure payment of the Note. "Commitment" - The commitment of the Lender hereunder to make Advances pursuant to Article II hereof in an aggregate principal amount of up to $100,000.00. "Commitment Termination Date" — November 1, 2011, or the date of the termination of the Lender's Commitment pursuant to Section 6.2 hereof, whichever date occurs earlier. "Completed Facility" - means the Land and all Improvements thereon upon completion of the Project in accordance with the Drawings and Specifications. "Completion Date" — November 1, 2011, or such later date to which Lender shall agree in writing, being the date of required substantial completion of the Project. "Contractor(s)" - any persons, supplying labor or materials for construction of the Project under contract with Borrower. "Draw Request" - An application, in a form satisfactory to Lender, in Lender's sole discretion, to be submitted by Borrower to Lender to request an Advance as provided in Section 2 hereof. "Drawings and Specifications" or "Plans" - means the plans or the drawings and specifications prepared by Borrower's Architect or other representative of Borrower identified to the Neatoscan, Inc. lease. "Event of Default" - An Event of Default specified in Section 6 hereof which is continuing after any applicable grace periods. "Guarantor" — any of Jess Graba, Robert Wagner, Andrew Heitke or Kevin Lindahl. "Guaranty" - The Guaranty Agreements of even date herewith between the Guarantors and the Lender. "Improvements" - All structures and other improvements existing or to be placed upon the Land as part of the build -out or leasehold improvement as required under the Neatoscan, Inc. lease. 2
