"Assignment of Rents" - The Assignment of Rents and Leases of <br />even date herewith from Borrower to Lender to secure payment of <br />the Note. <br />"Commitment" - The commitment of the Lender hereunder to <br />make Advances pursuant to Article II hereof in an aggregate <br />principal amount of up to $100,000.00. <br />"Commitment Termination Date" — November 1, 2011, or the date <br />of the termination of the Lender's Commitment pursuant to Section <br />6.2 hereof, whichever date occurs earlier. <br />"Completed Facility" - means the Land and all Improvements <br />thereon upon completion of the Project in accordance with the <br />Drawings and Specifications. <br />"Completion Date" — November 1, 2011, or such later date to <br />which Lender shall agree in writing, being the date of required <br />substantial completion of the Project. <br />"Contractor(s)" - any persons, supplying labor or materials for <br />construction of the Project under contract with Borrower. <br />"Draw Request" - An application, in a form satisfactory to Lender, <br />in Lender's sole discretion, to be submitted by Borrower to Lender <br />to request an Advance as provided in Section 2 hereof. <br />"Drawings and Specifications" or "Plans" - means the plans or the <br />drawings and specifications prepared by Borrower's Architect or <br />other representative of Borrower identified to the Neatoscan, Inc. <br />lease. <br />"Event of Default" - An Event of Default specified in Section 6 <br />hereof which is continuing after any applicable grace periods. <br />"Guarantor" — any of Jess Graba, Robert Wagner, Andrew Heitke <br />or Kevin Lindahl. <br />"Guaranty" - The Guaranty Agreements of even date herewith <br />between the Guarantors and the Lender. <br />"Improvements" - All structures and other improvements existing <br />or to be placed upon the Land as part of the build -out or leasehold <br />improvement as required under the Neatoscan, Inc. lease. <br />2 <br />
