"Land" - The land located in Ramsey County, Minnesota, upon <br />which the Improvements are to be constructed, which is legally <br />described in the Mortgage. <br />"Line Item" - means a category of Project Costs, as designated on <br />the Sworn Construction Statement attached hereto as Exhibit A. <br />"Mortgage" - The Combination Mortgage, Security Agreement and <br />Fixture Financing Statement of even date herewith from the <br />Borrower to the Lender to secure payment of the Note, which <br />Mortgage creates a third priority lien on the improvements and <br />land described in the Mortgage. <br />"Note" - The Note of even date herewith made by Borrower <br />payable to the order of Lender in the amount of $262,143.48. <br />"Project" - means the Improvements to be made or furnished on <br />the Land for the build -out or leasehold improvements required to <br />be made by Borrower under the terms of its lease with Neatoscan, <br />Inc. <br />"Project Costs" — means the reasonable and customary costs <br />directly related to the Project including, but not limited to, costs of <br />permits, licenses, labor, supplies, materials, services, equipment, <br />insurance premiums, interest on Advances and fees payable to the <br />Lender in connection with the loan described herein, but shall not <br />include the cost of acquiring the Land or any profit to the Borrower <br />acting in its capacity of a Contractor, real estate brokerage <br />commissions, closing costs or any other expenses incurred in <br />connection with the sale or leasing of all or any part of the <br />Improvements or Land. <br />"Security Documents" - The Mortgage, Assignment of Rents, and <br />Guaranties. <br />"Subcontractor" - Any person who shall be engaged by the <br />Borrower to work on, or to furnish materials and supplies for, the <br />Project. <br />3 <br />
