JOINT POWERS AGREEMENT <br />For the <br />Trail and Boardwalk Extension <br />manner to avoid unnecessary delays in completing the project. If a change order is being <br />processed to benefit only one City, then only that City needs to approve the change as <br />long as that City accepts 100% of the cost associated with said change order. <br />Contracting Agency <br />The City of Little Canada shall act as the Contracting Agency for the project. The City of Little <br />Canada will not advertise for bids until it has received authorization from the City of <br />Maplewood to proceed. The City of Little Canada will advertise for bids in accordance <br />with the requirements of law applicable to statutory cities. The City of Little Canada will <br />require bid bonds, performance and payment bonds and insurance as agreed to by both <br />parties and prescribed in the project specifications attached as Exhibit C. <br />Sanders Wacker Bergly, Inc., professional consultant responsible for the design and management <br />of this project shall prepare all addenda, distribute bid documents, received bids and <br />tabulate bids. The consultant shall forward the bid results to each City for their <br />respective approvals prior to award of the contract. Little Canada shall award the bid to <br />the lowest responsible bidder unless that bid exceeds the estimate of costs depicted on <br />Exhibit B by more than ten percent (10 %). If the bid exceeds the estimate by more than <br />10 %, then either City may choose not to award the bid, in its sole discretion. <br />The City of Little Canada will enter into a contract with the lowest responsible bidder. As the <br />Contracting Agency, the City of Little Canada shall have the right to issue change orders, <br />make payments to the contractor, provide construction observation, require construction <br />testing and otherwise administer the contract as deemed necessary for the proper <br />completion of the project, subject to the terms of this agreement. <br />Staff Designations <br />Each City shall designate a staff contact who shall be empowered to make administrative <br />decisions regarding this project for their respective city as provided for by this agreement. <br />The City of Maplewood hereby designates DuWayne Konewko, Environmental Manager, <br />as the staff contact for this project. The City of Little Canada hereby designates Jim <br />Morelan, Director of Parks & Recreation, as the staff contact for this project. <br />Payment and Reimbursement <br />The City of Little Canada will make partial payments to the contractor on a monthly basis <br />according to the work completed and based upon the recommendation of Sanders Wacker <br />Bergly, Inc. The City of Little Canada will submit requests for reimbursement to the City <br />of Maplewood for its portion of the work on a monthly basis. Payment shall be made <br />within fifteen (15) days of submittal. Each City represents that it has sufficient funding <br />to pay its share of the project costs. <br />Page 3 of 7 <br />
