JOINT POWERS AGREEMENT <br />For the <br />Trail and Boardwalk Extension <br />existing Little Canada Trail that runs east from LaBore Road. Approximately 230 feet of <br />the trail to be constructed will be a wood boardwalk that crosses a wetland area. <br />Cost Estimate <br />A preliminary cost estimate for the project is attached, Exhibit B, which shows a breakdown of <br />the anticipated costs for the City of Little Canada and the City of Maplewood. This is <br />only an estimate. The actual cost of the project may vary and each City will be <br />responsible for the actual cost of the completed project within their respective area for all <br />work except "mobilization" and "staking and layout" which shall be divided on a 50/50 <br />basis between the two cities. <br />Cost Sharing <br />The bid forms will require a complete breakdown of the contractors cost based on unit prices and <br />a total lump sum bid. The unit prices will allow an accurate assignment of the cost of the <br />project to each party. Any lump sum amounts (except for "mobilization" and "staking <br />and layout ") will be assigned to each party based on an estimate of the amount of work <br />occurring within each City as a percentage of the total amount of the work occurring <br />within each respective City. In the event that such an allocation is not possible, then <br />those costs will be split on a 50/50 basis. <br />Prior to the award of the bid, each party shall review the bids received, including the unit prices <br />and the cost obligation for each party. A revised cost estimate shall be prepared <br />assigning bid costs to each City. Once written approval is obtained by the designated <br />staff contact from each City, a contract will be signed between the City of Little Canada <br />and the lowest qualified bidder, for construction of the entire project. It is also <br />understood that time is of the essence in awarding the bid and each City shall endeavor to <br />either approve or deny the revised cost estimate with expediency. <br />Costs for professional services associated with design shall be the responsibility of each City and <br />billed on an individual basis. Costs for professional services associated with project <br />management and oversight shall be included on the estimate of costs and split on a 50/50 <br />basis between each City, except for any costs that are directly attributable to any one <br />City. In that case, the City generating the professional services costs shall be responsible <br />for all fees associated with the service request. <br />Change Orders <br />The parties acknowledge that change orders may be required on the project and that time is of <br />the essence on many construction decisions. The parties agree that change orders may be <br />approved administratively by agreement of the designated staff. The parties further agree <br />that any change orders over 10% of the total contract amount shall require approval from <br />each respective city council.
