maintenance shall be shared by Little Canada and Maplewood based on the <br />percentage of flow from Little Canada. All major repairs or replacements to <br />Maplewood Lift Stations 14 and 17 shall be performed by Maplewood and the <br />costs incurred therefore shall be shared between Little Canada and Maplewood <br />with Little Canada paying a proportionate share based on the percentage of flow <br />from Little Canada. Little Canada agrees to reimburse Maplewood in accordance <br />with the above when billed annually by Maplewood to Little Canada on or before <br />March lsr of the following year. <br />Little Canada also agrees to reimburse Maplewood for the cost of sewage <br />treatment as is currently the practice for the addresses with flowage to the lift <br />stations cited above. As development occurs, Little Canada will bill all services <br />provided by both cities to the new address. Little Canada will then include these <br />additional addresses in its quarterly reimbursement to Maplewood of service <br />billed on their behalf. <br />SECTION 3 <br />DURATION <br />Upon mutual consent of Maplewood and Little Canada, this Agreement may be <br />amended and /or terminated at any time. After such termination, the parties shall <br />have no further obligation or responsibility under this Agreement. <br />Upon 60 day written notice Little Canada may unilaterally terminate this <br />Agreement if Little Canada has completely disconnected from the Maplewood <br />sanitary sewer line and provides proof of the disconnection to Maplewood. <br />SECTION 4 <br />MEETINGS <br />Little Canada, through its Public Works Department or designee, agrees to meet at <br />the request of Maplewood should any issues arise under this Agreement. The <br />purpose of said meetings shall be to discuss issues which affect the substantive <br />rights of the parties under this Agreement. The time and place of any such <br />meeting, hereunder, shall be determined by the parties with reasonable notice to <br />one another. The parties retain the right to conduct meetings through other <br />electronic means as is acceptable to both parties. <br />SECTION 5 <br />AGREEMENT SUBJECT TO DATA PRACTICES ACT <br />15 <br />
