4. Site Control. The City hereby covenants that it holds fee title to the real <br />property making up the Property. <br />5. Development Agreement. Should Developer submit a proposal that is <br />accepted by the City, it is expected that a final Development Agreement shall be prepared <br />to address the specific terms and conditions regarding the construction of the project. <br />Said terms and conditions will likely include, but may not be limited to, the following <br />matters, as applicable, as well as other items the parties acknowledge may be material to <br />the Project, all on terms and conditions mutually agreeable to the parties: <br />(a) Purchase Price to be paid for the Property. <br />(b) Public assistance package including tax increment financing ( "TIF "), <br />grants or loans, if any. <br />(c) Construction of the minimum improvements, including aesthetic <br />enhancements. <br />(d) Transfer of ownership of the Property to the Developer. <br />(e) Environmental assessments, wetland delineation (if any), property <br />surveys, and other reports or studies including resolution of issues <br />identified as a result of these studies. <br />(f) Remediation of environmental contamination as evidenced by various <br />environmental reports previously provided to Developer in Little Canada's <br />Request for Proposals information packet. <br />(g) Governmental approvals and permits. <br />(h) Landscaping, public infrastructure and improvements, storm water and <br />erosion control. <br />(i) Recovery /imposition of City costs and fees. <br />(j) Provisions of sureties for landscaping, soil and water control, and public <br />improvement damage replacement. <br />(k) Terms of default and remedies for same. <br />(1) Developer contingencies to closing. <br />(m) Developer's financing plan. <br />2 <br />
