12. Termination. Except as herein provided, this Agreement will terminate <br />upon expiration of the Predevelopment Period or upon execution of a final Development <br />Agreement, whichever occurs first. The parties may extend the term by mutual <br />agreement. If the Developer fails to submit the Developer Updates as set forth in <br />Section 12 of this Agreement by the due dates specified therein, or as may be amended in <br />any amendment this Agreement, then the Developer shall be deemed in breach of this <br />Agreement and the City may terminate this Agreement upon ten (10) days written notice. <br />13. Assignment. The Developer may assign its rights under this Agreement to <br />an entity owned or controlled by Developer and organized by Developer for the purpose <br />of constructing a project on the Property. No other assignment is permitted by this <br />agreement. <br />14. Counterparts.
