Agreement PW2007 -04 <br />COOPERATIVE AGREEMENT <br />BETWEEN <br />RAMSEY COUNTY AND <br />CITY OF LITTLE CANADA <br />Agreement between <br />The County of Ramsey and <br />The City of Little Canada <br />For the Cold In Place Recycling of: <br />Viking Drive Between 1,650 feet east of Rice Street to Nature Way <br />THIS AGREEMENT is by and between the County of Ramsey, a political subdivision of the <br />State of Minnesota, hereinafter referred to as the "County ", and the City of Little Canada, Minnesota, a <br />municipal corporation, hereinafter referred to as the "City ". <br />WHEREAS, Viking Drive is a City street; and <br />WHEREAS, the City has requested the County to cold in place recycle Viking Drive between <br />1,650 feet east of Rice Street and Nature Way; <br />NOW, THEREFORE, IT IS HEREBY MUTUALLY AGREED AS FOLLOWS: <br />1. The County shall cold in place recycle Viking Drive between 1,650 feet east of Rice Street and <br />Nature Way. Work will include recycling existing pavement, grading, oil emulsion, one lift of <br />bituminous paving, and traffic control. <br />2. The City shall raise and lower city utility structures as directed by the County. <br />3. The City shall prepare the plans and specifications in accordance with Minnesota Department of <br />Transportation State Aid Standards and submit them to the County no fewer than seven days before <br />commencement of the work. <br />4. The work shall be done between May 15, 2007 and June 30, 2007. <br />5. The City will pay for 100% of the cost of the project including, materials, equipment, and labor. The <br />City shall pay based on the actual cost of construction. Payments by the City shall be to the <br />Treasurer of Ramsey County, Minnesota within 30 days of receipt of an invoice from the County. <br />6. The City and County shall indemnify, hold harmless, and defend each other, their officials, agents, <br />and employees against any and all liability, losses, costs, damages, expenses, claims or actions, <br />including attorney's fees, which the indemnified party, its officials, agents, or employees may <br />hereafter sustain, incur or be required to pay, arising out of or by reason of any act or omission of the <br />indemnifying party, its officials, agents or employees, in the execution, performance, or failure to <br />adequately perform its obligations pursuant to this Agreement. Nothing herein shall constitute a <br />waiver by either party of the limits or liability provided by Minnesota Statutes, Chapter 466 or other <br />applicable law. <br />PW2 - 2 - 4 Page 1 of 2 Pages <br />
