07/11/2007 17:39 FAX 952 896 3250 <br />LARKIN HOFFMAN DALY Z005/018 <br />(2) Withhold from the Purchase Price an amount which, <br />in the reasonable judgment of the Title Company, <br />is sufficient to assure removal of any such <br />personal property, junk, debris, auto parts or <br />other material remaining on the Property. Any <br />amount so withheld will be placed in escrow with <br />the Title Company, pending such removal. The <br />costs of removing any such property shall be a. <br />charge against the escrowed amount. Any escrowed <br />amount remaining after thirty (30) days of the <br />Closing Date shall be returned to Sellers. If <br />such escrow is established, the parties agree to <br />execute and deliver such documents as may be <br />reasonably required by Title Company, and Seller <br />agrees to pay the charges of Title Company to <br />create and administer the escrow. <br />(3) Waive the objection and proceed to close. <br />(a) Seller'_,..__ Closing,.._ Documents. On the Closing Date, <br />Seller shall execute and /or deliver to Buyer the <br />following (collectively "Seller's Closing Documents "): <br />(1) Deed. A Warranty' Deed, in form reasonably <br />satisfactory to Buyer, conveying the Real Property <br />to Buyer, free and clear of all encumbrances, <br />except the Permitted Encumbrances as hereafter <br />defined. <br />(2) Intentionally deleted. <br />(3) Sel],er!s_Affidavi_t.,,, A standard owner's affidavit <br />which may be required by the Title Company to <br />issue an Owner's Policy of. Title Insurance with <br />the standard exceptions waived. <br />(4) FTRPTA Affidavit. A non - foreign affidavit, <br />properly executed and in recordable form, <br />containing such information as is required by IRC <br />Section 1445(b) (2) and its regulations <br />(5) IRS Form. A Designation Agreement designating the <br />"reporting person" for purposes of completing <br />Internal Revenue Form 1099. <br />(6) we11_Certiz,.catE_„ A Certificate signed by Seller <br />warranting that there are no "Wells" on the <br />Property, or if there are "Wells ", a Well <br />4 <br />5 <br />
