All other documents reasonably <br />determined by Buyer to be necessary to transfer <br />the Property to Buyer free and clear of all <br />encumbrances, other than the Permitted <br />Encumbrances defined hereafter. <br />(b) Buyer's Closing Documents. On the Closing Date, Buyer <br />will execute and /or deliver to Seller the following <br />(collectively "Buyer's Closing Documents"): <br />(1) Purchase Price. The Purchase Price. <br />(2) 1033 J:,c.Lt..er_ A fully executed original of a <br />letter in the form attached hereto as Exhibit B. <br />(3) Title Documents;. Such affidavits of Purchaser, <br />Certificate of Real Estate Value or other <br />documents as may be reasonably required by the <br />Title Company in order to record the Seller's <br />Closing Documents and issue the Title Insurance <br />Policy required by this Agreement. <br />5. Prorations. Seller and Buyer agree to the following <br />proration° and allocation of costs regarding this Agreement: <br />(a) Title Insurance and Closing...._ Fee. Seller will pay all <br />costs of Title Evidence. Buyer will pay all premiums <br />required for the issuance of an ALTA Owner's Title <br />Insurance Policy. Seller and Buyer will each pay one - <br />half of any reasonable and customary closing fee or <br />charge .imposed by any closing agent designated by the <br />Title Company. <br />(b) Deed Tax. Seiler shall pay all state deed tax <br />regarding the Warranty Deed to be delivered by Seller <br />under this Agreement. <br />(c) Real Estate Taxes and Special Assessments. Seller will <br />pay on or before the Closing Date, all special <br />assessments levied, pending or constituting a lien <br />against the Real Property as of the Effective Date. <br />Buyer will be responsible for and assume all special <br />assessments levied, pending, deferred or constituting a <br />lien against the Real Property after the Effective <br />Date, including without limitation, those special <br />assessments placed on the Property at Buyer's request <br />or which arise from Buyer's use or development of the <br />6 <br />
