3 <br /> <br />Released Parties through the Lease Termination Date that arise from or out of, in <br />consequence of, or on account of, or that relate in any manner to this Agreement and <br />the Lease or the March 1, 2024 letter from Chris Heineman and Chad Lemmons to <br />Jerry Proulx with the subject line 2884 and 2886 Centerville Road, Little Canada, MN. <br />10. Non-Waiver. No waiver shall be effective against Lessor unless the waiver is made in <br />writing. <br />11. Additional Instruments. The Parties hereto agree to execute and deliver such other and <br />further instruments, releases, stipulations, or other documents as may be reasonably <br />necessary to fully implement the terms and provisions of this Agreement. Lessee shall <br />provide to Lessor signed estoppel certificates in a form approved by the Lessor’s <br />attorney, a full list of all subtenants, and copies of their leases. <br />12. Governing Law. The validity, construction and enforceability of this Agreement shall <br />be governed in all respects by the laws of the State of Minnesota. <br />13. Binding Effect. This Agreement and the rights and obligations hereunder shall be <br />binding upon, and shall inure to the benefit of, the Parties hereto and their respective <br />heirs, executors, administrators, assigns, agents, officers, shareholders, partners, <br />members, and successors in interest. <br />14. Modifications in Writing. Neither this Agreement nor any of the provisions hereof may <br />be changed, waived, discharged, or terminated except by an instrument in writing <br />signed by the Party against whom such enforcement of the change, waiver, discharge, <br />or termination is sought. <br />15. Severability of Provisions. Any provision of this Agreement which is prohibited or <br />unenforceable shall be ineffective to the extent of such prohibition or unenforceability <br />without invalidating the remaining provisions hereof. <br />16. Complete Agreement. This Agreement constitutes the entire agreement and <br />understanding among the Parties hereto regarding the Lease. <br />17. No Third-Party Beneficiaries. This Agreement is an agreement solely among Lessor <br />and Lessee. No third-party beneficiaries are intended and none shall be inferred, and <br />no Party other than the Lessor or Lessee may assert any right, make any claim or <br />otherwise attempt to enforce any provision of or under this Agreement. <br />18. Drafting. Each Party has cooperated in the drafting and preparation of this Agreement. <br />Hence, any construction to be made of this Agreement shall not be construed against <br />any Party.
