4 <br /> <br />19. Without Reliance. This Agreement is executed without reliance on any promise, <br />warranty, or representation by any Party or Party’s representative other than those <br />expressly contained herein, and each Party has carefully read this Agreement and has <br />had the opportunity to consult with its respective counsel regarding its meaning and <br />consequences. Each signatory to this Agreement has acted of their own free will. <br />20. Authorization. Each person executing this Agreement on behalf of any Party has been <br />duly authorized to execute this Agreement on behalf of such Party. <br />21. Headings. The headings in this Agreement are included herein for convenience and <br />reference only and should not be construed a part of this Agreement for any other <br />purpose. <br />22. Survival. Paragraph 9 shall remain in effect even after this Agreement has expired or <br />been terminated. <br />23. Counterparts. This Agreement or any other documents or agreements provided for <br />herein may be executed in any number of counterparts, each of which when so executed <br />and delivered shall be deemed to be an original and all of which counterparts of this <br />Agreement or any other documents or agreement provided herein, as the case may be, <br />taken together shall constitute but one and the same instrument. This Agreement may <br />be executed by electronic signature and electronic signatures shall be binding and shall <br />constitute an original signature hereto. <br />(remainder of page left blank intentionally; signature page to follow) <br />
