Any unit of local government or other governmental subdivisions as hereinabove described in Ramsey <br />County shall be entitled to membership in the RAMSEY COUNTY LEAGUE OF LOCAL <br />GOVERNMENTS (LEAGUE). Membership in the LEAGUE shall be certified by resolution of the <br />governing body of each unit of local government, and filed with the Coordinator of the LEAGUE. <br />Section 2. ASSOCIATE MEMBERS. Any civic organization within Ramsey County, and any present or <br />former elected or appointed government official from within Ramsey County, shall be entitled to <br />Associate membership in the LEAGUE upon payment of dues. Associate members may attend all <br />meetings, but shall not have the right to vote. <br />Section 3. WITHDRAWAL OF MEMBERSHIP. Any Member Organization or Associate member may <br />withdraw from the LEAGUE upon a written notification and nonpayment of dues to the Coordinator of <br />the LEAGUE. <br />ARTICLE III <br />BOARD OF DIRECTORS <br />Section 1. BOARD MEMBERS. Each Member Organization of the LEAGUE shall appoint through its <br />regular appointment process two elected or appointed officials to serve as a Board Member and an <br />Alternate on the Board of Directors (Board) for one -year terms. Each Member Organization shall be <br />allowed one vote on all LEAGUE matters, to be cast by the Board Member, the Alternate or an <br />appointed proxy. A proxy must also be an elected or appointed official from that Member Organization. <br />It is suggested that Board service be limited to not more than six years. <br />Appointment as a Delegate shall include the duty and responsibility of regular attendance at LEAGUE <br />meetings. <br />Section 2. OFFICERS. The Officers shall consist of a President, a Vice President and a Treasurer <br />who shall be elected at the Annual Meeting by a majority vote. Officers shall have served on the Board <br />at least one year and be a current member of the Board. <br />Section 3. NOMINATIONS. A Nominating Committee and chair should be appointed by the Board. It <br />shall consist of the Past President, and two board members. This committee shall submit nominations <br />for election for the Board at the Annual Meeting. <br />Section 4. PRESIDENT. The President shall be the chief executive officer of the LEAGUE and shall <br />preside at all meetings. He or she shall see that all orders and resolutions are effected and shall have <br />all powers, duties, and authority necessary, incidental, and customary to the office of President. The <br />President shall serve for a term of one year. No one person shall serve more than two consecutive <br />terms as President. <br />Section 5. VICE PRESIDENT. The Vice President shall act in the absence of the President, with the <br />same duties and powers, and shall perform such other duties as the Board may direct. The Vice <br />President shall serve for a term of one year. No one person shall serve more than two consecutive <br />terms as Vice - President. <br />Section 6. TREASURER. The Treasurer shall have responsibility for the maintenance of full accounts <br />and records of all receipts and disbursements, and the deposit of monies or other assets in depositories <br />designated by the Board. The Treasurer shall render an accounting of funds to the Board when <br />required or requested. He or she shall ensure that an annual review of financial transactions is <br />conducted by a financial officer of a Member Organization (See Article II). The Treasurer shall present <br />an annual budget to the Board (See Article IX) and shall make a report on the financial condition of the <br />LEAGUE at the Annual Meeting. <br />Section 7. PAST PRESIDENT. The Past President shall be the immediate past president of the <br />LEAGUE. He or she shall respond to the LEAGUE'S needs, thus providing continuity, and shall <br />
