<br />SECTION 1. ESTABLISHMENT OF AN ECONOMIC DEVELOPMENT <br />AUTHORITY FOR THE CITY OF LITTLE CANADA, MINNESOTA. <br /> <br />1.1 Economic Development Authority Established. The Economic Development <br />Authority for the City of Little Canada, Minnesota, is hereby established. The EDA shall have all <br />the powers, duties, and responsibilities set forth in Minnesota Statutes §§ 469.090 to 469.1081, as <br />may be amended from time to time, and all other applicable laws, except as limited by this <br />Amended and Restated Enabling Resolution (“Resolution”). <br /> <br />1.2 Purpose. The appointment of the EDA, pursuant to the provisions, restrictions, and <br />regulations contained in this Resolution, is intended to provide the City with a board comprised of <br />representatives from the City Council. The EDA shall be the chief economic development agency <br />for the City. <br /> <br />1.3 Characteristics. The EDA is a public body corporate and politic and a political <br />subdivision of the State of Minnesota with the right to sue and be sued in its own name. The EDA <br />carries out an essential governmental function when it exercises its power, but the EDA is not <br />immune from liability because of this. <br /> <br />1.4 Future Amendments. Nothing shall prevent the City Council from amending this <br />Resolution to impose limits on the powers of the EDA or for providing for other matters as <br />authorized by Minnesota Statutes §§ 469.090 to 469.1081, or any other applicable law. <br /> <br />SECTION 2. COMPOSITION OF THE EDA. <br /> <br />2.1 Composition. The EDA shall be governed by a Board of Commissioners (the “EDA <br />Board”) consisting of five persons who shall be the members of the City Council (each one, a <br />“Commissioner”). <br /> <br />2.2 Terms. Commissioners shall serve a term that coincides with, and does not extend <br />beyond, their term in office on the City Council. <br /> <br />2.3 Removal for Cause. Pursuant to Minnesota Statutes § 469.095, subd. 5, following <br />a hearing by the City Council, a Commissioner may be removed for inefficiency, neglect of duty, <br />or misconduct in office as a Commissioner. A copy of the charges must be given to the <br />Commissioner at least ten days before the hearing before the City Council. The Commissioner <br />must be given an opportunity to be heard in person or by legal counsel at the hearing. When <br />written charges have been submitted against a Commissioner, the City Council may temporarily <br />suspend the Commissioner. If the City Council finds that those charges have not been <br />substantiated, the Commissioner shall be immediately reinstated. If a Commissioner is removed, <br />a record of the proceedings, together with the charges and findings, shall be filed in the office of <br />the City Clerk. <br /> <br /> 2.4 Vacancies. A vacancy is created on the EDA Board when a City Councilmember <br />is no longer in office on the Little Canada City Council, or when a Commissioner is removed for <br />cause. A vacancy for this or any other reason must be filled for the balance of the unexpired term <br />in the manner in which the original appointment was made. <br /> <br />2.5 Compensation and Reimbursement. A Commissioner, including the president, <br />shall be paid for attending each regular or special meeting of the EDA, in an amount to be
