LEASE <br />This Lease is made as of , 2001, by and between the City of Little <br />Canada, a municipal corporation ( "Landlord ") and the Little Canada Historical Society, a <br />Minnesota non - profit corporation ( "Tenant "). <br />1. PREMISES. Landlord hereby leases to Tenant, and Tenant hereby leases from <br />Landlord, for the term and upon the conditions hereinafter provided, the premises, as designated <br />on Exhibit A attached hereto. The Premises is located at 515 E. Little Canada Road, Little <br />Canada, Minnesota, on land legally described on Exhibit B attached hereto (such land and <br />building are hereinafter referred to as the "Project "). <br />2. RENTABLE AREA. The Rentable Area of the Premises is estimated to be / 99 <br />square feet. <br />3. TENANT'S LEASEHOLD IMPROVEMENTS. Any tenant improvements shall <br />require the prior written consent of Landlord and shall comply with all present and future laws, <br />ordinances, regulations and orders of all governmental units having jurisdiction over the <br />Premises. Any Tenant improvements will be at the Tenant's sole cost and expense. <br />4. TERM. The term of this Lease shall commence on the date hereof and shall continue <br />for Thirty (30) years. <br />5. BASE RENT. Tenant shall pay Landlord for capital outlays, as described in <br />Paragraph 5 of that certain agreement between Landlord and Tenant dated March 25, 1998, a <br />true and correct copy of which is attached hereto and incorporated herein as Exhibit C. <br />6. CONTRIBUTION TO OPERATING COSTS. <br />6.1 Tenant. Tenant's payment to Landlord of the base rent described herein shall cover <br />all standard operating costs. Tenant shall be responsible for the payment of extraordinary <br />operating costs, which will include: Tenant's portion of internal maintenance expenses <br />including janitorial fees; and, the "other costs" as defined in Paragraph 6 of that certain <br />agreement between Landlord and Tenant dated March 25, 1998, a true and correct copy <br />of which is attached hereto and incorporated herein as Exhibit C. <br />7. USE. <br />7.1 Tenant will not use or occupy the Premises for any unlawful purpose, and will <br />comply with all present and future laws, ordinances, regulations and orders of all <br />governmental units having jurisdiction over the Premises. Tenant shall not cause or <br />permit any unusual noise, vibrations, odors or nuisance in or about the Premises. <br />Landlord disclaims any warranty that the Premises are suitable for Tenant's use, and <br />Tenant acknowledges that it has had a full opportunity to make its own determination in <br />this regard. <br />Page 71 <br />
