the Agreement. <br />B. The AGENCY and AUTHORITY mutually agree to hold haiculess and defend each <br />other, their officials, officers, employees, agents, representatives, customers, or <br />invitees against any and all claims, lawsuits, damages, or lawsuits for damages arising <br />from or allegedly arising from or related to the PROJECT, including but not limited <br />to the AGENCY's or the AUTHORITY's acts, failure to act, or failure to perform its <br />obligations hereunder. The AGENCY and AUTHORITY further agree to pay the <br />costs of and /or reimburse each other, their officials, officers, employees, agents, <br />representatives, customers, or invitees for any and all liability, costs, and expenses <br />(including without limitation reasonable attorney's fees) incurred in connection <br />therewith. Each party shall promptly notify the other of any claim made for any such <br />damage or loss and afford that party and its counsel the opportunity to contest, <br />compromise, or settle such claim. <br />C. Nothing in this Agreement shall constitute a waiver by the AGENCY or <br />AUTHORITY of any statutory limits or exceptions on liability. <br />11. INSURANCE <br />A. AGENCY shall purchase and maintain such insurance as will protect it from claims <br />which may arise out of, or result from, its operations related to this Agreement, <br />whether such operations be by the AGENCY or by any subcontractor, or by anyone <br />directly employed by them, or by anyone for whose acts any one of them may be <br />liable. <br />B. AGENCY shall secure the following coverages and comply with all provisions noted. <br />Commercial General Liability Insurance <br />$1,000,000 per occurrence <br />$2,000,000 general aggregate <br />$2,000,000 products /completed operations total limit <br />$1,000,000 personal injury and advertising liability <br />$ 5,000 medical payment per person <br />$ 100,000 fire legal <br />All policies are to be written as acceptable to the Ramsey County Risk <br />Manager. Certificate of Insurance must indicate if the policy is issued on <br />a claims -made or occurrence basis. If coverage is carried on a claims - <br />made basis then: 1) The retroactive date shall be noted on the Certificate <br />and shall be prior to or the day of the inception of the Agreement with <br />the AUTHORITY; and 2) evidence of coverage shall be provided for <br />three years beyond expiration of this Agreement. Coverage shall include <br />contractual liability coverage either on a blanket or specific basis to <br />Page 11 <br />
