Section 3: Chair and Vice Chair. <br />The Task Force shall elect a Chair and Vice Chair from its membership at its first <br />regular meeting each year. The Chair and Vice Chair shall be elected by the Task <br />Force from its membership for a one year term. The Chair shall preside at all meetings <br />of the Task Force, may establish such subcommittees as may be needed from time to <br />time and shall perform other duties and functions as may be determined by the Task <br />Force. The Vice Chair shall preside over and act for the Task Force during the absence <br />of the Chair. The Vice Chair shall also perform the duties and functions of the <br />Treasurer as provided for in the by -laws. If both the Chair and Vice Chair are absent, <br />the Task Force may elect a temporary chair to conduct its business, provided a quorum <br />is present. <br />Section 4: Staff. <br />Each member governmental unit may provide staff support to the Task Force, <br />subject to the approval of the Task Force. <br />Section 5: Vacancies. <br />If an appointment of any member or alternate is vacated before the end of the <br />term, the vacancy shall be filled by appointment by the appropriate appointing <br />governing body. Vacancies shall be filled within thirty (30) days of their occurrence. <br />A vacancy shall be deemed to have occurred when any of the conditions specified in <br />Minn. Stat. § 351 .02 exist. <br />Section 6: Meetings. <br />An initial organizational meeting of the Task Force shall be held within 60 days <br />of the commencement of this Agreement. Thereafter, the Task Force shall meet at <br />regular meetings at such times and places as the Task Force shall establish in its <br />bylaws. Special meetings may be held on reasonable notice by the Chair or any two <br />representatives upon terms and conditions as the Task Force may determine. <br />ARTICLE IV.
