Section 1: Establishment and Composition. <br />The parties hereby establish a joint powers board to be known as the Rush Line <br />Corridor Task Force ( "Task Force ") to jointly exercise such powers and authorities as <br />are necessary to achieve its purposes and fulfill its duties as provided for in Article V, <br />subject to the terms and conditions of this Agreement. The Task Force shall be an <br />entity separate from its member bodies and shall not be deemed an agent or partner <br />of the member bodies, and the member bodies shall not be liable for the activities of <br />the Task Force. This Agreement defines and establishes the structure and procedures <br />of the Task Force, the responsibilities and powers of the Task Force, and the <br />relationship between the Task Force and the member governmental units. <br />Section 2: Membership <br />Each Task Force member shall appoint one (1) of its members and one (1) <br />alternate. Each member and alternate shall serve for a term of one (1) year from the <br />date of his or her appointment. The first term of all members will terminate on <br />January 15, 2001 and annually thereafter. By January 15 of each year, the <br />governmental unit will appoint its member and alternate. Each member and alternate <br />must be a member of the governmental unit making the appointment and must remain <br />so during the term of her or his appointment. If a Task Force member ceases to be a <br />member of the governmental unit he or she represents, his or her membership in the <br />Task Force shall immediately terminate and the member governmental unit shall <br />appoint a new member. <br />Each member of the Task Force shall have one (1) vote. An alternate may vote <br />in the member's absence. A quorum must be present for voting. For any action to be <br />approved, there must be an affirmative vote of a majority. <br />Removal, with or without cause, of any member or alternate during the term for <br />which the member has been appointed may be done at any time but shall be done only <br />by resolution of the appointing governing body. Resolutions of any governing body <br />under this section shall be filed at the Ramsey County Regional Railroad Authority. <br />Page 65 <br />
