Developer agrees to correct the defects as promptly as reasonably possible and, in any event, prior to the transfer of ownership of the mains to the City. d. The Developer agrees to improve and maintain the two parcels of real estate which parcels have property tax identification numbers 06- 29 -22 -23 -0011 and 06- 29- 22 -23- 0012 as follows: (i) Developer shall grade the site; and (ii) Developer shall install and maintain, until such time as the property is otherwise developed, green areas to the extent the ordinances of the City of Little Canada require; and (iii) Developer shall install and maintain, until such time as the property is otherwise developed, a dust free service to accommodate parking on all portions of the property other than areas maintained as green areas; and (iv) Developer shall install and maintain, until such time as the property is otherwise developed, fencing around the perimeters of the properties in a manner which complies with the City of Little Canada's ordinances. 5. EDA's Obligations. a. The EDA is currently negotiating with the owner of the property cross - hatched in brown on the attached Exhibit B to obtain an option to purchase the property from the owner, Eugene DeLonais, at such time as Mr. DeLonais no longer occupies the property (the "DeLonais Property "). If the EDA is successful in acquiring the DeLonais Property, the EDA agrees to offer to sell the DeLonais Property to the Developer for an amount equal to the EDA's acquisition cost which shall include both the purchase price together with title insurance costs, reasonable attorney's fees and other costs reasonably associated with the 308O48A Page 127
