Developer agrees to correct the defects as promptly as reasonably possible and, in any event, <br />prior to the transfer of ownership of the mains to the City. <br />d. The Developer agrees to improve and maintain the two parcels of real estate <br />which parcels have property tax identification numbers 06- 29 -22 -23 -0011 and 06- 29- 22 -23- <br />0012 as follows: <br />(i) <br />Developer shall grade the site; and <br />(ii) Developer shall install and maintain, until such time as the property <br />is otherwise developed, green areas to the extent the ordinances of the City of Little Canada <br />require; and <br />(iii) Developer shall install and maintain, until such time as the property is <br />otherwise developed, a dust free service to accommodate parking on all portions of the <br />property other than areas maintained as green areas; and <br />(iv) Developer shall install and maintain, until such time as the property is <br />otherwise developed, fencing around the perimeters of the properties in a manner which <br />complies with the City of Little Canada's ordinances. <br />5. EDA's Obligations. <br />a. The EDA is currently negotiating with the owner of the property cross - hatched <br />in brown on the attached Exhibit B to obtain an option to purchase the property from the <br />owner, Eugene DeLonais, at such time as Mr. DeLonais no longer occupies the property <br />(the "DeLonais Property "). If the EDA is successful in acquiring the DeLonais Property, the <br />EDA agrees to offer to sell the DeLonais Property to the Developer for an amount equal <br />to the EDA's acquisition cost which shall include both the purchase price together with title <br />insurance costs, reasonable attorney's fees and other costs reasonably associated with the <br />308O48A <br />Page 127 <br />
