MAR -25 -1998 12:29 <br />NAC 612 595 9837 P.02/05 <br />JOINT PARKING AGREEMENT <br />THIS AGREEMENT is made and entered into as of this day of <br />199_ by and between the City of Little Canada, Minnesota, a Minnesota <br />Municipal Corporation (hereinafter °City'), and <br />(hereinafter °Owner"). <br />WHEREAS, the City wishes to utilize certain property of the Owner (hereinafter <br />"property') legally described in Exhibit A, and depicted on the site plan attached as Exhibit <br />B, in Little Canada, Minnesota, for the purposes of overflow parking from its City Center <br />facility at 515 East Little Canada Road, Little Canada, Minnesota (hereinafter "City <br />Center; and <br />WHEREAS, the City has approved a Conditional Use Permit to allow joint parking <br />on the property; and <br />WHEREAS, in exchange for adequate consideration which includes the Owner's <br />right to utilize the existing parking at the City Center site for overflow parking, the Owner <br />agrees to allow said overflow parking on the property; <br />NOW, THEREFORE, in consideration of the mutual promises hereinafter contained, <br />both parties agreeing to be mutually bound, agree as follows: <br />ARTICLE I. <br />REPRESENTATIONS AND UNDERTAKINGS <br />Section 1.1 By the City. The City makes the following representations as the basis for the <br />undertaking on its part as defined below <br />A. The City is authorized to enter into this Agreement and to carry out its <br />obligations hereunder. <br />B. The City will require all parking of employees and visitors to the City Center <br />to occur first at the City' Center when parking spaces are avalable. <br />C. The City will utilize the property solely as temporary overflow parking for <br />events at the City Center. <br />D. Notwithstanding the pending expansion of the City Center to accommodate <br />the Historical Society space, the City will undertake no additional construction projects <br />which either reduce the amount of parking currently available at the City Center, nor which <br />would Increase the demand for parking, without renegotiating this agreement or making <br />alternative arrangements for overflow parking, as deemed necessary by the City. <br />E. When possible, the City will inform the Owner prior to any time in which the <br />City believes that the need for overflow parking will occur. <br />Section 1.2 Ely the Owner. The Owner makes the following representations and <br />undertakings: <br />Page 2 <br />
