CONSULTING AGREEMENT <br />THIS AGREEMENT is entered into this day of 2012, by and between <br />Steel in the Air, Inc, a Florida Corporation, having an office at 16001 Waterleaf Lane, Fort <br />Myers, FL 33908 ( "Consultant "), and ( "Client ") having a <br />residence or place of business at <br />WHEREAS, Consultant is a consultant regarding wireless communications structures <br />utilized for the transmission and reception of wireless voice and data communications; and <br />WHEREAS, Client is in need of consultation services regarding evaluating the value of <br />the remainder income of a cellular tower ground lease; <br />NOW, THEREFORE, in consideration of the mutual covenants and promises contained <br />herein, and other good and valuable consideration, the receipt and sufficiency of which are <br />hereby acknowledged, and both parties intending to be legally bound, the parties hereto agree <br />as follows: <br />1. SERVICES. <br />Consultant's Services. Consultant agrees to perform Consultation Services ( "Services ") for <br />Client in regards to valuation of the remainder income from a cellular tower lease. Consultant <br />will provide a valuation of the remainder income of the cellular tower ground lease on a fair <br />market value basis. Consultant will provide comparable sales of cell tower ground leases along <br />with the general location of the lease, the lease rate, the name of the lessee, the offer or sale <br />amount, whether such sale was consummated, and the terms of the purchase agreement. <br />2. CONSULTANT'S PERFORMANCE. <br />General. Consultant represents and warrants to Client that it has the necessary professional <br />expertise, skills and abilities to perform the Services and to perform all its duties and obligations <br />as set forth in this Agreement in accordance with the highest standards of skill, expertise, and <br />diligence consistent with those of other firms performing similar services in the <br />telecommunications industry. Consultant does not warrant or guarantee any particular result. <br />Outside Consultants. From time to time, Consultant may believe that it is necessary to discuss <br />the Service with outside technical consultants, including but not limited to real estate appraisers <br />or radio frequency engineers. Consultant will provide Client with an Estimate for Outside <br />Consulting Services which shall include at a minimum a description of the reason why an <br />outside consultant is needed, a resume or other documentation of the outside consultant's <br />ability to provide the needed service or information, and a not to exceed price for the services of <br />the consultant. Consultant will not enlist any Outside Consultant without the prior written <br />acceptance by the Client of the Estimate. <br />3. COMPENSATION. <br />Fees and Expenses. Client, in exchange for the Services rendered by Consultant pursuant to <br />this Agreement, shall pay Consultant fees of $2,000.00, to be paid after completion and delivery <br />of the assessment <br />Payment Terms. Consultant shall submit to Client an invoice for amounts due for services <br />rendered outlining tasks completed and time utilized. In the event that the consultation <br />continues for more than a 30 day period due to any reason, Consultant shall submit an invoice <br />
