ACCESS EASEMENT AGREEMENT <br />THIS ACCESS EASEMENT AGREEMENT ( "Easement Agreement "), is made this day of <br />, 2013, by The City of Little Canada, a Minnesota municipal corporation ( "Grantor ") <br />whose address is 515 Little Canada Road East, Little Canada, Minnesota 55117 -1600, and N. Star <br />Associates Limited Partnership, a Minnesota limited partnership ( "Grantee "), whose address is 31200 <br />Northwestern Highway, Farmington Hills, Michigan 48334. Grantor and Grantee are sometimes herein <br />referred to individually as a "Party" and collectively as the "Parties ". <br />RECITALS: <br />A. Grantor is the lawful owner of Lot E, situated in the City of Little Canada, County of <br />Ramsey, Minnesota, which area is depicted on Exhibit "A" attached hereto ( "Parcel A ") ; and <br />B. Grantee is the lawful owner of certain real property, situated in the City of Little <br />Canada, County of Ramsey, Minnesota more particularly described on Exhibit "B" attached hereto <br />( "Parcel 13") commonly known as North Star Estates Mobile Home Park ( "North Star Estates "); and <br />C. Parcel A and Parcel 13 are adjacent and contiguous parcels of land; and <br />D. Grantee desires a permanent easement for ingress and Egress over Parcel A, and <br />Grantor desires to grant a permanent easement for ingress and egress to and from Parcel 13 over Parcel A, <br />as described herein, all in accordance with the terms of this Agreement; <br />AGREEMENT: <br />NOW THEREFORE, in consideration of the covenants contained in this Easement Agreement <br />and other good and valuable consideration, the receipt and sufficiency of which are acknowledged, and <br />intending to be legally bound, Grantor and Grantee agree as follows: <br />1. Grant of Easement. Grantor does hereby grant to Grantee an exclusive perpetual <br />easement appurtenant for and right of access (i.e., ingress and egress) ( "Access Easement ") to and from <br />Parcel 13 over Parcel A for direct access by persons and vehicles from North Star Estates to Country Drive, <br />a public road, by way of the driveway access roads depicted on Exhibit A (collectively, the "Driveway <br />Access Roads "). <br />1325553/3162 -0079 <br />
