AGREEMENT FOR INSURANCE BROKERAGE SERVICES <br />This Agreement is entered into as of , between YOUNGDAHL <br />COMPANIIES (hereinafter referred to as "Broker ") and (hereinafter <br />referred to as "Client "). <br />SERVICES <br />Broker agrees to provide insurance brokerage services for Client. Such services may include, <br />but are not limited to, (1)recommendations to Client on the development of insurance <br />programs. (2) procurement of insurance coverage, and (3) monitoring of Client's insurance <br />programs. <br />Broker agrees specifically to : Terms of "Insurance Agent/Broker Proposal ". <br />APPOINTMENT OF BROKER <br />By this Agreement Client appoints Broker as its representative with respect to performance of the <br />above described services and grants Broker the authority to transact insurance on Client's behalf. <br />PAYMENT <br />In consideration for the services to be provided by Broker, Client agrees to pay Broker the sum of <br />$ 4 ,000 .00 (per year), which payment is to be made on the following terms. * Client understands <br />and agrees that in performing this Agreement, Broker may also become entitled to receive <br />commission from insurers. Commissions will be credited to Client's account. <br />* Payment of Broker fee will be in quarterly installments. <br />TERMS <br />The term of this Agreement shall be for the period commencing January 1, 1997 through <br />December 31, 1999(and from year to year thereafter until canceled in writing by either party). <br />CANCELLATION <br />This agreement is not subject to flat cancellation and fee is fully earned. <br />CAVEAT <br />Although Broker agrees to use its best efforts in the performance of this Agreement, Broker does not <br />guarantee the availability of insurance coverage. <br />Date <br />Date <br />Page 16 <br />
