maintenance. Lessor shall have the right to estimate such <br />expenses and bill Lessee monthly. Therefore, Lessor shall provide <br />the Lessee with an accounting of such taxes, assessments, insur- <br />ance premiums and maintenance shortly after the end of each <br />calendar year during the lease term. Each party agrees to pay any <br />shortage or overpayment to the other party, as the case may be, <br />within sixty (60) days following the end of each calendar year. <br />For purposes of this Lease, the following definitions <br />apply: <br />"Tax" means real estate taxes and special <br />assessments assessed against the leased premises <br />which become due and payable during the lease term. <br />ii. "Insurance" means the premiums for insurance <br />on the leased premises for fire, windstorm, extended <br />coverage, loss of rents, and public liability. <br />"Maintenance" means the cost of maintaining <br />the sidewalks, alleys and passageways, snow removal, <br />cleaning, repairing, striping, patching of the <br />parking areas, supplies, administration costs of <br />operating and maintaining the common areas, includ- <br />ing cost of maintenance personnel, but excluding any <br />charges attributable to the original cost of <br />renovation or construction of the common areas. <br />b. Lessee's prorata share should be a fraction, the <br />numerator of which shall be the ground floor area of the leased <br />premises and the denominator of which shall be the entire ground <br />floor area of the building of which the leased premises are a <br />part. <br />10. RESPONSIBILITY FOR DAMAGE TO PREMISES. The Lessee <br />assumes responsibility for loss, damage, or injury to the lease- <br />hold caused by its officers, employees, invitees or others while <br />entering, within or departing from the leasehold in connection <br />with the Lessee's activities, or by its occupancy of the lease- <br />hold, other than by reasonable wear and tear. <br />Upon the expiration or termination of this lease as <br />provided herein, the Lessee shall return the property as remodeled <br />and h.erein described to the Lessor. The Lessor and the Lessee <br />agree that in consideration of any building improvements accruing <br />to the Lessor's property from the Lessee's remodeling, and said <br />agreement shall revert to the Lessor upon termination and no <br />additional restoration upon termination is required. <br />11. MAINTENANCE OF THE LEASEHOLD. The Lessor shall be <br />responsible for maintenance of the leased land and premises in <br />good repair and in safe and not unsightly condition, subject to <br />reimbursement by Lessee as provided in Paragraph 8. <br />Page 9 <br />-3- <br />
