ARTICLE VIII <br />DURATION <br />a. Each party agrees to be bound by the terms of this agreement until <br />December 31, 1989. <br />b. This agreement may be continued after December 31, 1989, by <br />majority consent of the active parties. <br />ARTICLE IX <br />HOLD HARMLESS -- INDEMNIFICATION <br />9.1 Hold Harmless -- Indemnification <br />LSS hereby covenants and agrees to indemnify and hold the commissioners <br />and the interests they represent, staff person for the participating <br />communities and the participing communities harmless, from and <br />against, any and all claims, demands, damages, debts, liabilities, <br />actions, causes of action, judgments, whether in law or in equity, based <br />upon, relating to, or arising from LSS's administration and operation of <br />this program. <br />9.2 Insurance <br />LSS shall present to the Commission evidence of liability and casualty <br />insurance. <br />9.3 Disclosure of Claims and Liabilities <br />LSS hereby certifies that there is no litigation, proceeding, govern- <br />mental investigation or action of any kind pending or to LSS's knowledge <br />proposed against or threatened, relating to its Share -A -Home program. <br />9.4 Claims <br />a. It is hereby understood and agreed that any and all employees of the <br />LSS and other persons employed by the LSS in performance of any work or <br />services relative to this program provided for herein by the LSS, shall <br />not be considered employees of the participating communities in that any <br />and all claims that may or might arise under the Workman's Compensation <br />Act of the State of Minnesota on behalf of said employees while so <br />engaged and any and all claims made by the third parties as a <br />consequence of any act or omission on the part of LSS employees while so <br />engaged on work or services rendered herein by LSS, shall in no way be <br />an obligation or the responsibility of the participating communities. <br />b. It is understood and agreed that all employees of the participating <br />communities and all other persons employed by the participating communi- <br />ties in performance of work and services provided or required for herein <br />by the participating communities shall not be considered employees of <br />the LSS and that any and all claims that may or might arise under Work- <br />man's Compensation Act of the State of Minnesota on behalf of said <br />employees while so engaged and any and all claims made by third parties <br />as a consequence of any act or omission on the part of said <br />Page 65 <br />
