this Lease; and (b) it has good and unencumbered title to the <br />Property free and clear of any liens or mortgages, except as may <br />be disclosed by review of title. Landlord warrants that Tenant <br />shall have the quiet enjoyment of the Property during the term <br />of this Lease in accordance with its terms. <br />b. Tenant represents and warrants that its equipment, <br />personal property, and Antenna Facilities, and any of their <br />component parts or by- products, do not constitute any hazardous <br />substance, hazardous facility, hazardous waste, pollutant, or <br />contaminant, as any of those may be defined under federal, state <br />or local laws. Tenant further represents and warrants that in <br />the event of breakage, leakage, incineration or other disaster, <br />neither its equipment, personal property, or Antenna Facilities, <br />nor any of their component parts or by- products would constitute <br />such hazardous wastes or substances. Tenant agrees to indemnify <br />and hold harmless Landlord from and against any and all <br />liability, loss, cost, damage and expense, including reasonable <br />attorneys' fees relating from or due to the release, threatened <br />release, storage or discovery of any of the above named <br />materials that are part of Tenant's equipment, personal <br />property, Antenna Facilities, or any component parts or <br />by- products thereof. <br />11. Assignment. Tenant may not assign or sublet this <br />Lease without the prior written consent of Landlord. <br />12. Successors and Assigns. This Lease shall run with the <br />Property described on Exhibit A. This Lease shall be binding <br />upon and inure to the benefit of the parties, their respective <br />successors, personal representatives, and assigns. <br />13. Miscellaneous. <br />a. This Lease constitutes the entire agreement and <br />understanding of the parties, and supersedes all offers, <br />negotiations, and other agreements of any kind. There are no <br />representations or understandings of any kind not set forth <br />herein. Any modification of or amendment to this Lease must be <br />in writing and executed by both parties. <br />b. This Lease shall be construed in accordance with <br />the laws of the State of Minnesota. <br />c. If any term of this Lease is found to be void or <br />invalid, such invalidity shall not affect the remaining terms of <br />this Lease, which shall continue in full force and effect. <br />-4- <br />Page 66 <br />
