1 03 -18 -1992 08:47 <br />SENT Dl'' <br />612 770 4506 City of Maplewood <br />17 02 :11 U7AM l Pomt.;r brand fax transmittal memo 7871 <br />AGREES'. <br />P.01 <br />#ol p•go.• 2_ <br />THIS AGREEMENT, made and entered into tuts <br />day of , 1992, <br />by and lv'nzrren CITY OF MAPLEWOOD, a municipal corporation of the Etatd of billu.cavta, <br />(hereinafter referred to as "Maplewood ") and CITY OF LITTLE CANADA, a municipal <br />corporation of the State of Minnesota, (hereinafter referred to as "Little Canada "). <br />WITNESSETH: <br />WHEREAS, Little Canada currently owns and hold all rights to an existing 12" <br />watermain located within the City of Maplewood; and <br />WHEREAS, Maplewood has agreed to assume title and possession of a portion of the <br />aforementioned watermain from Little Canada; and <br />WHEREAS, the transfer of ownership and possession of the aforementioned watermain <br />is in the public interest of both Maplewwd auk Little Canada; and <br />WHEREAS, the. Si . Paul Beard of Water Commissioners shall not be adversely affected <br />in any way by this transfer of uwuoialtip u1 pusscsbiun of the aforementioned watermain. <br />NOW, THEREFORE, in consideration of the mutual revenants and agreements sat <br />forth, Maplewood and Little Canada hereby agree as follows: <br />1. Little Canada hereby conveys, grants, assigns and transfers to Maplewood all <br />ylghts in the existing 12" watermain, from the valve approximately 60 feet north of the <br />Roselawn right -of -way on the watermain parallel to the SOO Line Railroad serving Little <br />Canada to the valve at the West right -of -way at Jackson Street. <br />2, Maplewood hereby assumes end nbligates itself to maintain the aforementioned <br />portion of the watermain without further duties or obligations imposed against Little Canada. <br />3. Maplewood shall forever indemnify and save harmless, protect and defend Little <br />Canada, its employees and agents, from any or all liability, suits, demands, including the legal <br />defense costs thereof, for bodily injuries, (including death) or property damages, including loss <br />of use, arising out of the construction, maintenance, repair or existence of the aforementioned <br />Page 18 <br />
