accordance with the attached Schedule "B ". 4.2.8. The following compensation procedure will be utilized for projects built directly by developers or their contractors, where the City is not party to the construction contract. Compensation for all phases shall be based upon actual time spent at the rates shown on Schedule "B" attached multiplied by 1.3 plus all direct costs. Estimates of cost for each phase of the work shall be provided when requested. 4.2.9. All properly documented and authorized payments due from the City to the Consultant shall be made within 30 days of the receipt of the City of the Consultant's statement therefore. SECTION 5. GENERAL PROVISIONS 5.1. The Consultant shall act as the City's agent only as provided for within this Agreement. The parties agree that all engineering services provided by the Consultant under this Agreement shall be of the expected standards of the Engineering Profession and that all employees of the Consultant assigned to the various phases of work on this Project shall be experienced and qualified for the work to be done. 5.2. It is understood that the Consultant's assignment of on -going personnel to the City's account is a vital consideration relating to the retention of the Consultant. Therefore, the Consultant shall endeavor to maintain said personnel assignment so long as reasonably practical for the duration of this Agreement. No change in the assignment of the designated "City Engineer" shall be made by the Consultant without the expressed consent of the City. However, should the City not be satisfied with the current personnel assignment, it may request the Consultant to re- assign personnel to its account subject to final approval by the City. Should a change in personnel result from whatever reason, the hourly rate for the newly assigned person shall be the lesser of the newly assigned person's -16- Page 181
