5.13.2. Upon thirty (30) days written notice to the City, the Consultant <br />may terminate this Agreement whenever the Consultant determines that the <br />continuation of this Agreement is not in the interest of the Consultant. <br />5.13.3. Upon receipt of the termination notice, the Consultant shall cease <br />all work and deliveries save that necessary in the City's discretion to <br />protect the public health, welfare, and safety. <br />5.13.4. Termination of this Agreement shall not invalidate any obligations <br />properly incurred by the Consultant prior to receipt of the termination <br />notice to the extent that such obligations are non - cancelable. <br />5.13.5. Termination of this Agreement shall not constitute a waiver of any <br />claim which the City may otherwise have arising out of this Agreement. <br />5.14. Neither party shall assign this Agreement, nor any interest arising <br />herein, without the written consent of the other. <br />5.15. The provisions of the Agreement are severable. If any portion <br />hereof is, for any reason, held by a Court of competent jurisdiction, to be <br />contrary to law, such decision shall not affect the remaining provisions of <br />the Agreement. <br />5.16. The entire Agreement of the Parties is contained herein. This <br />Agreement supersedes all oral agreements and negotiations between the <br />Parties relating to the subject matter hereof as well as any previous <br />agreements presently in effect between the Parties relating to the subject <br />matter hereof, except that, for projects commenced before the execution of <br />this Agreement, the Consultant's fees and other compensation shall be <br />governed by the Agreement between the City and the Consultant in the <br />attached letter from the City of Little Canada dated July 20, 1994. <br />5.17. The Consultant shall notify the City if it or its principals secure <br />any interest in any real estate or development proposals or accepts a <br />contract with any client owning real estate or having a development <br />proposal in the City of Little Canada. <br />-20- <br />Page 185 <br />
