AGREEMENT FOR <br />INDEPENDENT FINANCIAL ADVISORY SERVICES <br />The following is an agreement to engage Ehlers and Associates, Inc. as financial advisor to the City of Little <br />Canada. This agreement describes the terms and conditions of the services provided by Ehlers and Associates, <br />Inc. <br />Definitions <br />The terms used in this agreement shall have the following meanings: <br />City and Community mean the City of Little Canada, Minnesota. <br />Government means the administration, county board, city council, town board, school board, or other <br />body or assembly charged with the management and control of the community. Where the words "you" or "your' <br />appear, they shall refer to the government as defined above to which this may be addressed <br />Company refers to Ehlers and Associates, Inc. or its successors. The words "we" or "us" or "our" shall <br />mean the company. <br />Obligations mean any bonds, notes, certificates of indebtedness, warrants or other instruments of <br />indebtedness which may be issued by the government to obtain funds for a capital improvement project in or for <br />the community. The word "financing" shall mean the obligations. <br />Authorization means approval of a project by the required majority of voters or approval by the <br />governing body and /or other agencies from which approval for the project must be obtained following the <br />required procedures so that no further approvals are needed prior to issuance of obligations. <br />Project refers to obligations or other work assignments which the government or its administration <br />directs us to perform financial consulting services. <br />Planning, Authorization and Issuance of Obligations <br />Ehlers and Associates will assist the City of Little Canada the planning, authorization and issuance of obligations. <br />The specific services we will provide include the following: <br />1. Work with you, your architect or engineer, planner, attomey and other authorized representatives. <br />2. Study existing and potential future financial commitments of the municipality, its economic resources and <br />other pertinent demographic, physical and economic data. <br />3. Study available financing options for your project(s). <br />4. Project the effect of proposed financing options on local taxes and other revenue bases through the <br />financing period. <br />5. Submit written reports, including printed computer projections, to the government outlining the feasibility <br />of the projects, comparing methods of financing, interest costs, tax rates, utility rates, special assessments <br />and other revenues demonstrating various options available to the community and their effect on <br />Page 108 <br />
