City of Little Canada Page 3 <br />On -Going Consulting Services <br />At the discretion and direction of the City, Ehlers and Associates will provide the following general financial <br />consulting services: <br />1. Review and comment on debt studies prepared by the City. Provide suggestions on implementation and <br />integration with capital improvements planning. <br />2. Monitor market conditions and advise City of opportunities for refunding existing debt. <br />3. Review financial condition of existing tax increment financing districts and make recommendations <br />concerning the use of revenues and fund balances. <br />4. Provide assistance to the City in the evaluation of developer requests for financial assistance. <br />5. Assist with the preparation of a capital improvements program through the analysis of alternative funding <br />methods. <br />6. Provide tax impact analysis in support of annual budget. <br />7. Assist the City with the preparation of its Comprehensive Plan by reviewing the proposed plan, meeting <br />with the City and its planning consultant, and participating in the creation of implementation strategies. <br />8. Prepare periodic analyses of general financial and economic conditions. <br />9. Prepare and conduct an annual educational workshop. <br />Compensation <br />In return for services provided in the planning, authorization and issuance of obligations and for each issue or <br />series of obligations, we shall be entitled to a fee, due and payable only upon award of the sale of the obligations <br />or commitment from the appropriate state or federal agency of a grant or loan for the project, as follows: <br />Amount of Base Fee Per $1,000 <br />Debt • Fee Additional Bonds <br />Up to $500,000 $7,586 <br />$501,000 to $1,000,000 $7,586 $7.57 <br />$1,001,000 to $2,000,000 $11,369 $3.78 <br />$2,001,000 to $10,000,000 $15,151 $1.96 <br />The fees that would result from various amounts of debt are illustrated in the table on the following page. <br />When more than one issue is sold in a single offering, the fee for the smaller issue(s) shall be reduced by 25 %. <br />This compensation also covers the On -Going Consulting Services described in this Agreement. <br />The Government agrees to pay directly or to reimburse the Company for the following costs in connection with <br />processing such issues: advertising the sale, preparation and distribution of the official statement, printing of the <br />obligations, all legal fees, C.P.A. or accountant's charges, the charges for any other professional work done to <br />complete the financing, all bond rating expenses, and the cost of any authenticating agent shall be paid by the <br />government. <br />=.aqe 10 <br />
