MTC CONTRACT NO, <br />DRAFT 7/26/93 <br />The officials, employees or agents of the parties to this agreement <br />shall not accept gifts, favors, entertainment nor any other <br />gratuities of monetary value from any individual or organization <br />performing services under this Agreement during the period of this <br />Agreement nor for a period of one year thereafter. <br />12. Amendments <br />This Agreement may be amended when mutually agreed by the <br />parties hereto. Any change in scope, monetary agreements or term <br />of agreement shall be amended in writing and duly executed by the <br />parties hereto prior to the performance of any services agreed to by <br />said amendment. <br />13. Termination <br />This agreement may be terminated in whole or in part when mutually <br />agreed to by the parties hereto or when required by circumstances <br />beyond the control of either party. <br />14. Severability <br />It is further agreed and understood by the parties hereto that if any <br />part, term or provision of this Agreement should be unenforceable in <br />the jurisdiction in which either party seeks the enforcement of the <br />contract, it shall be construed as if not containing the invalid <br />provision or provisions, and the remaining portions or provisions <br />shall govern the rights and obligations of the parties. <br />15. Governing Law <br />This Agreement shall be deemed to have been made in Hennepin <br />County, Minnesota, and shall be interpreted and the rights and <br />liabilities of the parties hereto determined in accordance with the <br />laws of the State of Minnesota. <br />16.
