AMENDMENT TWO <br />TO LITTLE CANADA INTERCEPTOR <br />CONSTRUCTION COOPERATION AND RECONVEYANCE AGREEMENT <br />BETWEEN LITTLE CANADA AND THE METROPOLITAN COUNCIL <br />THIS AMENDMENT TWO to the Little Canada Interceptor Construction Cooperation <br />and Reconveyance Agreement ( "Agreement ") is made and entered into on November —, 2013, <br />by and between the Metropolitan Council, a public corporation and political subdivision under <br />the laws of the State of Minnesota (the "Council "), and the City of' Little Canada, a municipal <br />corporation under the law of the State of Minnesota (`Little Canada "), hereinafter collectively <br />referred to as the "Parties ". <br />RECITALS <br />1. On August 10, 2011, the Parties entered into an Agreement to transfer the Little Canada <br />Interceptor, as defiled in Article 1 of the Agreement, from Council to Little Canada. <br />2. As part of this transfer, Council agreed to have Little Canada perform certain repairs to <br />the LI 0 Gravity Pipe System, which is a portion of the Little Canada Interceptor, at its expense. <br />3. The Parties now desire to amend the Agreement to extend the term of the Agreement <br />through November 30, 2014. <br />NOW, THEREFORE, the Parties agree to amend the Agreement in the following <br />particulars: <br />Article IX, Transfer of L10 System, Section 2, shall be deleted in its entirety and <br />replaced by the following: <br />Little Canada will, at the Met Council's expense, perform the Repairs to the L-10 System <br />specifically listed in Exhibit 13, Sections B and C attached hereto and made a part hereof, <br />as provided in Section II of this Agreement. Little Canada will complete such repairs no <br />later than November 30, 2014. <br />- 1 - <br />2 <br />
