The Board will provide an annual report of its activities to the Cities and other <br />organizations participating in the Watershed Project. <br />3. The Natural Resources Board will determine its own regular meeting schedule, to <br />fulfill the functions described above and provide services as requested to local <br />communities and others, within the limits of available staff time and budget. Board <br />meetings will be held at a location in the Watershed, to be determined by the Board. <br />4. Board members will be appointed to three -year terms, with no more than one -third <br />of the Board terms ending in any one year. Board members may be re- appointed to <br />an unlimited number of terms. <br />5. The Board will elect its own officers, including a Chair, Vice Chair, and Secretary, <br />and other officers as needed to fulfill the functions of the Board. <br />6. The Board will adopt by -laws as needed to fulfill its mission. Proposed by -laws <br />will be presented to city governments for their review and comment. <br />7. The Board will develop an annual work program and budget proposal by <br />approximately June of each year for presentation to each project partner and for <br />discussion of appropriate levels of support. <br />7. The Board will hire staff as needed and as funds are available to carry out its <br />mission and functions. Staff shall be officed and administratively supported at the <br />Ramsey - Washington Metro Watershed District. <br />8. The Watershed District and its Administrator will provide office and administrative <br />support to the Board and its staff. The District will share financial support for the <br />Project with local governments, and will provide technical expertise on natural <br />resources issues and projects as available and requested by the Natural Resources <br />Board and staff. <br />9. The Cities will provide technical, in -kind, and/or financial assistance, as available, <br />to support the Watershed Project, its demonstration projects, and education and <br />outreach activities to local citizens to implement the Phalen Chain of Lakes <br />Watershed Natural Resources Plan. <br />The level and types of support from each city will be based on the proportion of the <br />city's geographic area in the Watershed District, costs of the projects and activities <br />sponsored with the city, and the level of service the city requests from the Natural <br />Resources Board and its staff. The amount of support to be provided by each <br />partner will be determined by mutual agreement between the Natural Resources <br />Board, Ramsey - Washington Metro Watershed District, and city governments as <br />they develop annual budgets. <br />This agreement may be amended or terminated by mutual agreement of all partiesby <br />resolutions of their respective boards. <br />This agreement shall become effective upon signature of all duly authorized signatores, and <br />shall remain in effect until thirty days after written notice of termination by the parties <br />signing the agreement. <br />Page 4 <br />
