NOW, THEREFORE, in consideration of the mutual obligations of the parties hereto, each of them does <br />hereby agree with the other as follows: <br />1. Purpose. The purpose of this Agreement is to secure the services of EERC to assist in the <br />implementation of energy efficiency improvements in City owned and leased facilities, the cost of which will <br />be recovered in energy savings. An additional purpose is to maintain energy savings achieved through the <br />program into the future. <br />2. Authorized Activities. The EERC agrees to provide energy related assistance and technical <br />support services in City facilities for certain DPS approved activities which are described as follows: <br />(A) Perform Energy Conservation Audits. EERC shall identify electric saving <br />opportunities. <br />(13) Design Development. EERC shall design a plan for energy conservation measures for designated <br />facilities. <br />(C) Specification Development. EERC shall develop specifications for work to be performed and <br />assist in review of contractor bids. <br />(D) Project Management. EERC shall conduct site visits and resolve issues regarding change orders. <br />(E) Post - Retrofit Testing, if required by NSP. EERC will meet NSP requirements. <br />(F) Energy Savings Maintenance. Perform post - retrofit consumption analysis on each year <br />anniversary until loan is repaid. <br />3. Payment and Limits - EERC will submit invoices for services provided to the City LGCEP <br />coordinator for approval. Services will be paid at a rate of $45.00 per hour. The coordinator will submit <br />approved invoices to NSP for payment within five working days. The total costs of EERC services and <br />expenses shall not exceed 15% of the total retrofit project costs for each facility. <br />Consultation and Training - EERC will provide incidental consultation at no cost. Participation in the <br />Conservation Task Force, technical information and training may be invoiced at a rate of $45.00 per hour <br />when the activity is in conjunction with a specific project site. <br />Contract Development - As requested by the City, EERC involvement in open bidding procedures may be <br />invoiced at a rate of $ 45.00 per hour. <br />Construction Management - EERC will provide technical specifications, contractor liaison, on -site <br />construction inspections, change orders, post installation certifications and necessary LGECP paperwork and <br />Page 52 <br />
