AASHTO, AREMA, FHWA, FRA, Minnesota MUTCD, Minnesota Statues 219.0et seq. and <br />Minnesota Rules 8830et seq. Should a conflict be identified in any of these rules and <br />regulations, the Minnesota rules and statutes shall be controlling, unless preempted by Federal <br />Regulations. <br />3. The Company will perform the work called for in this agreement entirely at the <br />expense of the City. It is understood that for agreement the City and the Company have <br />agreed upon a LUMP SUM PAYMENT of $30,000. The lump sum amount will be paid to the <br />Company by the City when the City certifies that the work has been satisfactorily completed. <br />The City will pay the lump sum, in total within 60 days of certification that the work has been <br />completed satisfactorily. <br />4. In the event it is determined that a change from the scope of work to be <br />performed by the Company is required, it shall be authorized only by an amendment to this <br />agreement executed prior to the performance of the work involved in the change. <br />5. Any party to this agreement may assign any receivable due them under this <br />agreement, provided, however, such assignments shall not relieve the assignor of any of its <br />rights or obligations under this agreement. <br />6. The laws of the State of Minnesota shall govern all questions as to the <br />execution, nature, obligation, construction, validity and performance of this agreement. <br />7. This agreement is effective upon the date the Company executes the <br />agreement and the Company shall be completed with the detail signal cost estimates within six <br />(6) months after the date the Company is authorized to begin work by the City. <br />8. The Company shall keep account of its work in such a way that said accounts <br />may be readily audited. <br />9. The City recognizes that the Company has an ongoing contract with RSS <br />(Railroad Signal Systems — 2425 Great Southwest Parkway, Fort Worth, TX 76106) for railroad <br />signal engineering services. The Company will document the selection of any and all <br />consultants and contractors in addition to RSS. The Company shall follow appropriate <br />regulations for awarding of contract for engineering by other than RSS or Company forces. <br />The remainder of this page has been intentionally left blank. <br />2 <br />3 <br />
