AGREEMENT No. <br />Dated: <br />Project: City of Little Canada, — Quiet Zone <br />Preliminary Engineering / Signal Estimates <br />City of Little Canada, Minnesota <br />Soo Line Railroad Company d/b/a <br />Canadian Pacific <br />This agreement is made between the Soo Line Railroad Company (DBA Canadian <br />Pacific), hereinafter called the "Company", and City of Little Canada, 515 Little Canada Road, <br />Little Canada, Ramsey County, Minnesota 55117 hereinafter called the "City", WITNESSETH: <br />WHEREAS, the City has proposed six (6) railroad signal projects for installation/upgrade <br />of railroad grade crossing warning devices in the City of Little Canada, Ramsey County, <br />Minnesota and the tracks of the Company, St. Paul Subdivision, US South Region as noted on <br />attached print, marked Exhibit "A"; and <br />WHEREAS, the City desires that said at -grade crossings be provided with new railroad <br />flashing light signals and half roadway gates, constant working time circuitry (CWT), 12' LEDs , <br />bungalow and cost estimates and the Company agrees to such construction and cost <br />estimates, hereinafter called the "Projects", and <br />WHEREAS, the City is desirous that the Company perform preliminary engineering <br />work, including detail signal cost estimates, and the Company is willing to do so upon the terms <br />and conditions hereinafter stated; and <br />WHEREAS, the City is authorized to enter into an agreement with the Company for the <br />Project; <br />NOW THEREFORE, in consideration of the foregoing and the provisions hereinafter <br />stated, it is agreed as follows: <br />1. The Company, subsequent to the execution of this agreement and approval of <br />the Projects by the City, will proceed to perform the preliminary engineering work required by <br />this agreement. <br />2. Preliminary engineering shall mean and include locating, making of surveys, <br />foundation investigation, engineering studies and the detail signal cost estimates of the Projects <br />and the preparation of specifications and construction cost estimates in advance of construction <br />operations. The Company's detail cost estimate will be in accordance with all applicable <br />standards for railroad grade crossing design and shall consist of standards and regulations in <br />2 <br />
