Retailer Acknowledgement/Signature <br />By its signature below, Retailer: <br />1. represents that it has taken all action necessary to, and is authorized to, enter into and sign this Agreement <br />and that neither the execution of this Agreement nor the performance of Retailers obligations under this Agreement <br />will conflict with, or constitute a breach of, any law, contract, or other legal undertaking; <br />2. acknowledges and agrees to the terms and conditions of this Agreement, including all Exhibits; <br />3. acknowledges that it has reviewed and agrees to the PM USA Trade Policies and the Website's Terms of <br />Use; <br />4. agrees to comply with all federal, state, local, or other laws, regulations, and ordinances applicable to the <br />sale of tobacco products; <br />5. agrees that this Agreement will not become binding on PM USA until this Agreement is approved by PM <br />USA, as indicated by the signature of the duly authorized AGDC representative below; <br />6. authorizes PM USA and its affiliates to obtain, and Retailer's suppliers to release, any information requested <br />by PM USA or its affiliates regarding Retailer's purchases and sales of tobacco products; <br />7. agrees at all times to comply with its obligations under the Agreement with respect to the prevention of <br />underage access to tobacco products; and <br />8. authorizes PM USA, its affiliates, and third parties contracted by PM USA or its affiliates, to take reasonable <br />actions (including moving products and signs other than PM USA products and PM USA Cigarette Signs), to bring the <br />Stores into initial compliance with the requirements of this Agreement and to maintain such compliance. <br />This is an electronically executed agreement, which means that the electronically executed document is the <br />original and legally binding agreement between PM USA and Retailer. Any paper version, even if signed, <br />should be regarded only as a courtesy copy.
