5. Additional Premium Level Requirements. For any Store with respect to which Retailer <br />participates in the Program at the Premium Level, Retailer must satisfy the following additional <br />requirements: <br />A. PM USA Retail Price Promotion Participation Requirement. Each Store must <br />participate in each PM USA Retail Price Promotion for which it is eligible and with respect to which <br />participation is required, as designated by PM USA and announced on the Website. In addition, the Store <br />must at all times during any such required PM USA Retail Price Promotion maintain an inventory of at <br />least one carton or 10 packs of undamaged product of at least one packing or brand subject to such PM <br />USA Retail Price Promotion. <br />B. Display Lowest Available Price Signs Requirement. Retailer must display in the <br />applicable merchandising area the lowest available price on any Marlboro Green Packing and the lowest <br />available price on any Marlboro Black Packing. The lowest available price may be the price of a Product <br />Promotion or another promoted packing. <br />C. Consistent Ordering Requirement. Each Store must purchase at least one carton of <br />any Designated Marlboro Packing, not including PM USA Product Promotions, from a STARS -reporting <br />wholesaler during each of 12 out of 13 STARS Weeks in each STARS Quarter. For determining <br />compliance with this requirement Marlboro Black Box is the only Marlboro Black Packing considered a <br />Designated Marlboro Packing. <br />D. PM USA Coupons. Unless prohibited by applicable law or regulation, each Store must <br />accept from adult tobacco consumers all valid PM USA -issued coupons for PM USA products sold by <br />such Store and must comply with the PM USA Coupon Redemption Policy, as modified from time to time <br />by PM USA in its sole discretion. <br />Exhibit B <br />Page 6 of 6 <br />33 <br />
