Exhibit C <br />Additional Program Incentives <br />(Premium Level Stores Only) <br />With respect to a Store participating in the Program at the Premium Level, PM USA will pay Retailer the <br />Incentive payments in accordance with Section 3 set forth below for participating in and meeting the <br />requirements of the PM USA Custom Signage Incentive, the PM USA Scan Data Incentive or both. <br />1. PM USA Custom Signage Incentive Requirements. <br />A. PM USA Custom Signage Website. Retailer must log on to the Website and visit the <br />PM USA custom signage page at least once per STARS Quarter. <br />B. PM USA Custom Signage Maintenance. Retailer must maintain PM USA custom <br />signage that Retailer (I) created from art files downloaded from the Website, (ii) printed and (iii) placed in <br />a minimum of two of the following five locations at each participating Store, all as approved by PM USA: <br />(1) in the PM USA Signage Zone; <br />(2) in any other interior location within 48" of the PCMA; <br />(3) at one or more fuel pumps; <br />(4) at the street; and <br />(5) at the primary point of entry into the Store, <br />Notwithstanding the above requirement, if a participating Store does not display Exterior Cigarette Signs, <br />Retailer must place only one custom PM USA Cigarette Sign in the PM USA Signage Zone or in any <br />other interior location within 48" of the PCMA in such Store to satisfy this PM USA Custom Signage <br />Maintenance requirement. <br />C. Terms and Conditions of PM USA Custom Signage Process. Retailer must comply <br />with the terms and conditions of PM USA's custom signage process set forth on the Website. <br />D. Replacement of PM USA Signage, as Directed by PM USA. Upon PM USA's request, <br />Retailer must replace any custom PM USA Cigarette Signs created in conjunction with this Incentive with <br />updated custom PM USA Cigarette Signs. Situations in which PM USA may request signage <br />replacement include, but are not limited to, (1) availability of New Offerings, (2) a change in Retailer's <br />pricing of PM USA products, (3) poor sign quality, (4) availability of new PM USA art files, and (5) signs <br />that violate the terms and conditions of the PM USA custom signage process. <br />2. PM USA Scan Data Incentive. <br />A. PM USA Scan Data Submission Requirements. Retailer must submit complete and <br />accurate transaction -level PM USA Scan Data for each STARS Week, no later than Tuesday following <br />such STARS Week, for each Store with respect to which Retailer participates in the PM USA Scan Data <br />Incentive. PM USA Scan Data must be submitted in accordance with the requirements set forth in PM <br />USA Retail Cigarette Reporting Package, or as otherwise communicated by PM USA. To begin <br />participating in the PM USA Scan Data Incentive, Retailer must first submit a test file and obtain PM <br />USA's approval of such file and the means of submission. <br />B. Resubmission Deadline. Retailer must submit PM USA Scan Data to correct or <br />complete any PM USA Scan Data for a STARS Week that was previously reported incorrectly or not <br />previously reported, with respect to a Store, no later than ten days after the Tuesday submission <br />deadline. <br />Exhibit G <br />Page 1 of 2 <br />34 <br />
