General Conditions <br />1.7.2 Any claim dispute, disagreement or outer matter that has been referred to the Owner, except <br />any which has been waived by the making or acceptance of the final payment, shall be subject to the <br />Dispute Resolution provisions under Paragraph 1.8 below. <br />1.8 DISPUTE RESOLUTION/VENUE CLAIMS <br />1.8.1 All claims, disputes and matters in questions arising out o1 or relating to, this Contract or the <br />breach thereof, except for claims which have been waived by the Contractor, by the making or <br />acceptance of final payment, shall he brought in the Rainey County District Court, Ramsey County, <br />Minnesota. Provided, however, that the Contractor must commence any action within one (1) year of <br />its accrual. Provided further that Contractor waives its right to pursue any claim upon its acceptance <br />of final payment. Notwithstanding anything contained herein to the contrary, Owner may pursue, any <br />claim arising out of or relating to this Contract, within the applicable statues of limitation. <br />1.8,2 This Contract is accepted in and shall be construed in accordance with the laws of the State of <br />Minnesota. <br />1.8.3 The, Contractor shall carry on the Work and maintain the progress schedule during any District <br />Court proceeding, unless otherwise agreed by him and the Owner in writing. <br />2. AVAILABILITY OF FACILITIES: PHYSICAL CONDITIONS; REFERENCE POINTS <br />The work to be contracted shall be carried out within the corporate limits of the City of Little <br />Canada, Ramsey County, Minnesota, 55117, at Little Canada City Hall, 515 Little Canada Road <br />East. <br />2.1 FACILITIES 13Y OWNER <br />The Owner shalt provide, not later than the dates stipulated by the Contract, the facilities shown on <br />the Drawings upon which the Work under the Contract is to be performed. Any unreasonable delay <br />in furnishing these facilities by the Owner shall be deemed proper cause for adjustment in the time of <br />completion. <br />2.2 UNUSUAL CONDITIONS <br />Contractor shall promptly notify the Owner in writing of any latent physical conditions at the site or <br />in an existing structure differing materially from those indicated or referred to in the Contract <br />Documents, Owner will promptly review those conditions and advise Owner in writing if further <br />investigation or tests are necessary. Within a reasonable time thereafter, Owner shall obtain the <br />necessary additional investigations and tests and furnish copies to the Owner and Contractor. If <br />Owner finds that the results of such investigations or tests indicate that there are latent physical <br />conditions which differ inaterially from those intended in the Contract Documents, and which could <br />not reasonably have been anticipated by Contractor, a Change Order may be issued incorporating the <br />necessary revision. <br />3.
