MAY 12 '95 16:21 MET C -GEN COUNSEL <br />P.3 <br />CONVEYANCE AGREEMENT <br />THIS AGREEMENT, made and entered into by and between Metropolitan Council <br />(hereinafter called the Council), and the City of Lino Lakes (hereinafter called Municipality); <br />WITNESSETH THAT, in the joint and mutual exercise of their powers and in <br />consideration of the mutual covenants herein contained, the parties hereto, recite and agree as <br />follows: <br />Section 1. Council Action_ The Council, by its Council Action No. A 2E, determined to <br />convey the ownership of a portion of the Interceptor described in Section 2 hereof which is <br />owned and operated by the Council, and directed that all of its right, title, and interest in and to <br />such portion of the interceptor should be transferred to the Municipality as of the date listed in <br />Section 2 hereof tether, the Metropolitan Council, by its Resolution No. 88-53 dated <br />September 8, 1988, has approved the reconveyance to local units of government of the <br />interceptors which no longer have a role in providing metropolitan -level sanitary sewer services. <br />Section 2. Transfer of Interceptors The Council will transfer to the Municipality, by quit <br />claim deed or other appropriate instruments of conveyance in form satisfactory to the <br />Municipality, all of its right, title, and interest in and to the portion of MCWS Interceptor Project <br />76-50 described in Exhibit A, which is attached hereto, and any permits licenses, easements and <br />other property rights which it has and which are necessary for the location, operation and repair <br />of the portion of such interceptor. The Council will transfer such portion of Interceptor No. 76- <br />50 upon determination that MCWS Project 91-06 is fully operational. The Council anticipates <br />that project 91-06 will be fully operational no later than December 31, 1996. <br />Section 3. The Council will convey and Municipality agrees to accept the portion of the <br />interceptor described in Exhibit A in "as is" condition, i.e., the condition the interceptor is in as of <br />
