The City shall pay to the Contractor the sum sof One Hundred and no/100 <br />($100.001 Dollars for inflation only at special events. <br />e. The City shall pay Contractor's cost to list the City as a certificate <br />holder. <br />4. INDEPENDENT CONTRACTOR STATUS. Contractor is to be and shall <br />remain an independent contractor with respect to any and all work performed under <br />this Contract. <br />It is agreed that nothing contained is intended or shall be construed in any <br />mariner as creating or establishing the relationship of agents, partners, joint venturers, <br />or associates between the parties hereto or as constituting Contractor as an employee <br />of the City for any purpose or in any manner whatsoever for the services provided <br />under this Contract. <br />5. INDEMNIFICATION. Any and all claims that arise or may arise against the <br />Contractor, its agents, servants or employees as a consequence of any act or omission <br />on the part of the Contractor or its agents, servants or employees while engaged in <br />the performance of the Contract shall in no way be the obligation or the responsibility <br />of the City. Contractor shall indemnify, hold harmless and defend the City, its officers <br />and employees against any and all liability, loss, costs, damages, expenses, claims or <br />actions, including attorney's fees which the City, its officers and employees <br />hereinafter sustain, incur, or be required to pay, arising out of or by reason of any act <br />or omission of the Contractor, its agents, servants or employees, in the execution, <br />performance, or failure to adequately perform Contractor's obligation pursuant to this <br />Contract. <br />-3- <br />
