ARTICLE 21. Amendment Or Modifications. <br />No modification, release, discharge, amendment or waiver of any provisions hereof shall be of any <br />force, effect or value, unless in writing signed by the Landlord, Tenant and Lender or their duly <br />authorized agents or attorneys. <br />ARTICLE 22. Complete Agreement. <br />There are no oral agreements between Landlord and Tenant affecting this Lease, and this Lease <br />supersedes and cancels any and all previous negotiations, agreements and understandings between <br />Landlord and Tenant with respect to the subject matter of this Lease or the Leased Premises. <br />ARTICLE 23. Force Majeure. <br />In the event that the Landlord or Tenant shall be delayed, hindered in or prevented from the <br />performance of any act required hereunder by reason of strikes, lockouts, labor troubles, inability to <br />procure materials, restrictive government laws or regulations, riots, insurrections; the action, failure <br />to act, or default of the other party; war or other reason beyond their control, then performance of <br />such act shall be excused for the period of the delay, and the period for performance of any such act <br />shall be extended for a period equivalent to the period of such delay. This paragraph shall not apply <br />to the non-payment of rent unless such non-payment is caused by the act, failure to act, or default of <br />Landlord. <br />ARTICLE 24. Miscellaneous. <br />(a) The specific remedies to which Landlord or Tenant may resort under the terms of this Lease <br />are cumulative and are not intended to be exclusive of any other remedies or means in regard to <br />which they may be lawfully entitled in case of any breach or threatened breach by any of them of <br />any provisions of this Lease Agreement. <br />(b) Except as otherwise provided herein, the covenants and agreements herein contained shall <br />bind and inure to the benefit of Landlord, its successors and assigns, and Tenant and its successors <br />and assigns. <br />(c) Each covenant, agreement or stipulation by a party hereto shall be performed at such party's <br />own cost and expense, and without cost or expense to the other party. <br />(d) If any term or provision of this Lease Agreement or the application thereof to any person or <br />circumstances shall to any extent be invalid or unenforceable, the remainder of this Lease <br />Agreement, or the application of such terms or provisions to persons or circumstances other than <br />those as to which it is held invalid or unenforceable, shall not be affected thereby, and each term or <br />provision of this Lease shall be valid and enforced to the fullest extent permitted by law. <br />(e) The heading or captions of Article or paragraphs in this Lease Agreement are for <br />convenience and reference only and in no way define, limit or describe the scope or intent of this <br />Lease Agreement or the provisions of such Article or paragraph. <br />(f) Interpretation of this Lease Agreement shall be governed by the laws of the State of <br />Minnesota. <br />15 <br />
