^� be useful and necessary for the efficient conduct of its <br /> business. No bylaw, policy, rule or procedure shall be <br /> adopted which conflicts with the provisions of this agreement <br /> or the Joint Powers Act or the laws or rules of the State of <br /> Minnesota or federal laws or regulations. Any such bylaw, <br /> rule, policy or rules shall be null and void. All bylaws <br /> must be approved by the City Councils and the School Board. <br /> Section 7 . Officers. <br /> A. At the first meeting of the Commission and in <br /> January of each year thereafter, the Commission shall elect <br /> from its membership the following: a chairperson, a vice <br /> and business, a treasurer who will keep records of all <br /> .� accounts, and such other officers as it deems necessary to <br /> reasonably carry out the purposes of this Agreement. <br /> B. Officers shall hold office for a term of one (1) <br /> year. An officer may serve only while a member of the <br /> Commission and may be re-elected to an office. A vacancy in <br /> an office shall be filled from the membership of the <br /> Commission by election and the officer shall serve for the <br /> remainder of the unexpired term of the vacated office. <br /> Section 8 . Approval of Action. <br /> A. Each commissioner shall be entitled to one (1) <br /> vote. <br /> B.
