A. A withdrawing member shall not have voting rights <br /> regarding dissolution. <br /> B. The Commission shall be dissolved upon the vote <br /> of majority of the Commission and agreement of the City <br /> Councils of the member cities and School Board. <br /> Section 4. Division of Assets. <br /> A. Withdrawal. If a party withdraws from this <br /> Agreement before termination of the Agreement, that party <br /> shall have no claim to the monetary assets of the Commission. <br /> The withdrawing party shall be compensated proportionately, <br /> based on their contributions for the last three (3) years, <br /> any equipment bought by purchased by the Commission based on <br /> r-� fair market value. The Commission shall have up to three (3) <br /> years to reimburse the withdrawal. <br /> B. Termination. Upon dissolution of the Commission <br /> all property of the Commission shall be sold and any surplus <br /> money and property of the Commission remaining after payment <br /> of all liabilities shall be returned to the parties in <br /> proportion to each party's total contribution to the <br /> Commission over the last three (3) years. Property <br /> contributed to the commission for use but not owned by it, <br /> shall not be sold, but rather shall be returned to the party <br /> that contributed it. A party's total contribution shall <br /> include moneys contributed, and fair market value of property <br /> and goods contributed. <br /> ARTICLE VI <br /> Page 17 <br />
