person; except that a special meeting may be held without waiver of <br /> notice from or giving notice to any director who is in the armed <br /> forces of the United States. <br /> 7(G) . Quorum. Except as may be otherwise specifically provided in <br /> other provisions of these By-Laws, THIRTY PER-CENT (30%) OF THE <br /> MEMBERS (a majority of the members) of the Board of Directors shall <br /> constitute a quorum for the transaction of business. <br /> 8 (H) . Compensation. No director shall receive any compensation <br /> for his services as a director; but directors shall be allowed or <br /> reimbursed for any expenses incurred or expenditures made by them <br /> for or in behalf of the corporation; . and nothing herein contained <br /> shall. be construed to preclude any director from serving the corpo- <br /> ration in any other capacity and receiving proper compensation <br /> therefore. <br /> 9 (I) . Resignation and Removal . Any director may at any time <br /> resign as such, effective either immediately or at a specified <br /> later date, by written resignation delivered to the secretary of <br /> the corporation. A (And) director may be removed as a director, <br /> with or without cause, by the (unanimous) affirmative vote OF A <br /> MAJORITY of the other directors of the corporation. SUCH REMOVAL <br /> SHALL BE EFFECTIVE UPON THE MAILING OF A WRITTEN NOTICE THEREOF TO <br /> THE MEMBER WHOSE MEMBERSHIP IS SO TERMINATED.
