10 (J) . Filling Vacancies. If the DIRECTORS (members) of the corporation remove a director, they may simultaneously, and by a like vote, elect a new director in his place and stead; or if they fail to do so, or if there is ever a vacancy in the Board of Direc- tors due to any other cause (including an increase in the number of directors) , the vacancy may be filled by the remaining director or directors, though less thaN(t) a quorum. Each director so elected to fill a vacancy shall serve and hold office until his successor is elected by the members of the corporation and qualifies , or until he dies, resigns or is removed. 11 (K) . Executive Committee and other Committees. The Board of Directors, by resolution adopted by a majority of the directors then present may designate and appoint an Executive Committee which shall consist of the president and two or more directors, subject in all respects to the authority and discretion of the Board of Directors and between its meetings the Executive Committee shall have and exercise the power and authority of the Board of Directors in the management of the corporation. Members of the Executive Committee shall serve for the same terms and be subject to removal in the same manner as officers of the corporation, except that anyone who ceases to be a director shall automatically cease to be a member of the executive committee. The Board of Directors may also, from time to time, appoint such other standing or temporary committees as it may consider proper and prescribe the functions and duties of such committees and the terms of membership of com- mittee members.
