10 (J) . Filling Vacancies. If the DIRECTORS (members) of the <br /> corporation remove a director, they may simultaneously, and by a <br /> like vote, elect a new director in his place and stead; or if they <br /> fail to do so, or if there is ever a vacancy in the Board of Direc- <br /> tors due to any other cause (including an increase in the number of <br /> directors) , the vacancy may be filled by the remaining director or <br /> directors, though less thaN(t) a quorum. Each director so elected <br /> to fill a vacancy shall serve and hold office until his successor <br /> is elected by the members of the corporation and qualifies , or <br /> until he dies, resigns or is removed. <br /> 11 (K) . Executive Committee and other Committees. The Board of <br /> Directors, by resolution adopted by a majority of the directors <br /> then present may designate and appoint an Executive Committee which <br /> shall consist of the president and two or more directors, subject <br /> in all respects to the authority and discretion of the Board of <br /> Directors and between its meetings the Executive Committee shall <br /> have and exercise the power and authority of the Board of Directors <br /> in the management of the corporation. Members of the Executive <br /> Committee shall serve for the same terms and be subject to removal <br /> in the same manner as officers of the corporation, except that <br /> anyone who ceases to be a director shall automatically cease to be <br /> a member of the executive committee. The Board of Directors may <br /> also, from time to time, appoint such other standing or temporary <br /> committees as it may consider proper and prescribe the functions <br /> and duties of such committees and the terms of membership of com- <br /> mittee members. <br />
