Hokanson <br />ADDRESS <br />15570 Potawatami <br />Andover, Minnesota 55434 <br />15570 Potawatami Street <br />Andover, Minnesota 55434 <br />At the first annual meeting the members shall elect three directors who shall serve until the next <br />annual meeting or until their successors shall be elected and qualified. <br />Any action, other than an action requiring membership approval, may be taken by written action <br />signed by the number of directors that would be required to take the same action at a meeting <br />of the board at which all directors were present, provided that all directors must be notified of <br />the text of the written action prior to the signing by any of the directors. <br />ARTICLE 9 <br />DISSOLUTION <br />The Association may be dissolved with the assent given in writing signed by not less than two <br />thirds (2/3) of each class of _members. Upon dissolution of the Association, other than incident <br />to a merger or consolidation, the assets of the Association shall be dedicated to an appropriate <br />public agency to be used for purposes similar to those for which this Association was created. <br />In the event that such dedication is refused acceptance, such assets shall be granted, conveyed, <br />and assigned to any nonprofit corporation, association, trust or other organization to be devoted <br />to such similar purposes. <br />ARTICLE 10 <br />DURATION <br />The corporation shall exist perpetually. <br />ARTICLE 11 <br />AMENDMENTS <br />Amendments of these Articles shall require the assent of seventy five percent (75 %) of the entire <br />membership. <br />IN THE WITNESS WHEREOF, for the purpose of forming this corporation under the laws of <br />the State of Minnesota, we the undersigned, constituting the incorporators of this Association, <br />have executed the incorporation of this Association, have executed these Articles of <br />Incorporation this day of 1991. <br />4 <br />
